Communiqué from the AGM of Mycronic AB (publ)
Täby, 4 May, 2017 – The Annual General Meeting (AGM) of Mycronic AB (publ) on 4 May, 2017
dealt with the following items among others:
Election of Board members
The AGM decided that the Board of Directors for the period running until the end of the next AGM shall be composed of five members with no deputy members. The AGM re-elected Board members Katarina Bonde, Ulla-Britt Fräjdin-Hellqvist, Per Holmberg, Magnus Lindquist and Patrik Tigerschiöld. Stefan Skarin had declined re-election. Patrik Tigerschiöld was elected Chairman of the Board.
Remuneration to the Board of Directors
The AGM decided that the remuneration to the Board of Directors amount to SEK 1,650,000 for the period running until the end of the next AGM, of which SEK 550,000 concern remuneration to the Chairman of the Board and SEK 220,000 concern each of the other Board members. In addition, the AGM decided on remuneration to the Chairman of the audit committee of SEK 70,000, remuneration to each of the other members of the audit committee of SEK 30,000 and remuneration to the Chairman and to each of the other members of the remuneration committee of SEK 30,000.
Election of auditor
The AGM decided on election of EY as auditor for the period running until the end of the next AGM with the Authorized Public Accountant Erik Sandström as responsible auditor.
Disposition of accumulated results
The AGM decided that the Parent Company’s retained earnings and non-restricted equity be managed according to the proposal of the Board of Directors.
Dividend
The AGM decided on an ordinary dividend of SEK 2.00 per share, a total of SEK 195.8 million. The record day is 8 May and date for payout 11 May.
Composition of nomination committee
The AGM decided to approve that the nomination committee for the 2018 AGM consists of three members representing the three largest or otherwise known shareholders at the end of August and the Chairman of the Board, a total of four persons.
Principles for remuneration for senior executives
The AGM decided to approve the Board’s proposal regarding principles for remuneration and other terms of employment for senior executives.
Authorization for new share issue
The AGM decided to approve the Board’s proposal that the Board is authorized to, on one or several occasions during the period up until the next AGM, decide on a new share issue, with deviations from the shareholders’ preferential rights. The issue price shall be based on market practice and the number of issued shares may at the most correspond to ten percent of the total amount of outstanding shares.
